1. Acceptance of Terms

These Terms of Service (the “Terms”) constitute a legally binding agreement between The Coffee Club LLC and any individual or entity accessing or using TheCoffeeClub.biz, including any subdomains, content, features, functionality, mobile versions, applications, or services offered through the website (collectively, the “Platform” or “Services”).

By accessing, browsing, registering for, claiming a listing, purchasing verification, advertising, participating in events, or otherwise using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any additional policies referenced herein. If you do not agree to these Terms, you must immediately discontinue use of the Platform.

If you are using the Platform on behalf of a business or other legal entity, you represent and warrant that you have full authority to bind such entity to these Terms, and all references to “you” shall include both you individually and the entity you represent.

2. Description of the Platform

The Coffee Club is a digital business listing and promotional platform designed to connect consumers with local businesses and professionals. The Platform may display publicly available business information, allow businesses to claim and verify listings, provide ranking or scoring mechanisms, offer paid promotional opportunities, integrate advertising services (including but not limited to Art Cup Ads), promote events, and offer additional marketing tools and services.

TCC does not operate as a broker, agent, referral service, guarantor, insurer, or certifier of any listed business. The Platform is informational and promotional in nature. We do not endorse, verify the quality of, or guarantee the performance of any business listed on the Platform, whether verified or unverified.

We reserve the right to modify, suspend, discontinue, or expand any aspect of the Platform at any time, with or without notice, at our sole discretion.

3. Business Listings; Verified and Unverified Status

TCC may display business listings that are compiled from publicly available sources or submitted by third parties. Such listings may appear on the Platform regardless of whether the business has registered with TCC. Listings that have not completed the verification process may be designated as “Unverified” or similar.

Businesses may elect to claim their listing by completing a registration process and paying applicable fees, including an annual membership fee and/or a one-time verification and activation fee. Verification indicates that the business has provided certain information directly to TCC and completed the Platform’s onboarding process. Verification does not constitute certification, endorsement, licensing, accreditation, or quality assurance by TCC.

TCC reserves the right to determine, in its sole discretion, whether to approve, deny, suspend, or remove any listing, claimed listing, or verified listing at any time.

4. Ranking, Display Order, and Platform Algorithms

The order in which businesses appear on the Platform may be determined by proprietary algorithms and internal ranking methodologies (“Rank Score”). Such ranking may consider multiple factors, including but not limited to engagement levels, advertising participation, responsiveness, activity on the Platform, promotional participation, membership status, internal metrics, and other criteria determined solely by TCC.

You acknowledge and agree that TCC has full and absolute discretion regarding ranking calculations, weighting of factors, display order, and visibility placement. Rankings may change at any time without notice. No business is guaranteed a specific position, visibility level, or placement on the Platform.

TCC shall not be liable for any perceived or actual impact on revenue, customer acquisition, or reputation resulting from ranking position or changes thereto.

5. Fees, Payments, and Refund Policy

Certain features of the Platform require payment of fees, including but not limited to verification fees, annual membership fees, advertising fees, promotional fees, event participation fees, and additional service fees.

All payments are due at the time of purchase and are non-refundable unless expressly stated otherwise in writing. By submitting payment, you authorize TCC and its third-party payment processors to charge the applicable fees using the selected payment method.

In the event of a chargeback, payment dispute, or fraudulent claim, TCC reserves the right to suspend or terminate the associated account, recover outstanding amounts, pursue legal remedies, and report fraudulent activity to appropriate authorities.

TCC reserves the right to modify pricing at any time. Continued use of paid services after price modifications constitutes acceptance of the updated fees.

6. User Conduct and Platform Integrity

You agree not to use the Platform in any manner that:

Violates applicable laws or regulations;
Provides false, misleading, or fraudulent information;
Attempts to manipulate rankings or algorithms;
Interferes with the security, functionality, or operation of the Platform;
Scrapes, copies, reverse engineers, or extracts data without authorization;
Defames, harasses, or harms other users or businesses.

TCC reserves the right to investigate suspected violations and take appropriate action, including removal of content, suspension of accounts, and legal proceedings.

7. No Guarantee of Results

The Platform may offer promotional tools, advertising placements, marketing integrations, or event exposure opportunities. However, TCC does not guarantee impressions, clicks, customer leads, revenue increases, return on investment, or any specific business outcome.

You acknowledge that marketing performance depends on numerous external factors beyond TCC’s control, and you assume all risk associated with business decisions made in reliance on the Platform.

8. Intellectual Property

All content on the Platform, including text, graphics, logos, designs, software, ranking methodologies, structure, selection, arrangement, and branding, are the exclusive property of TCC or its licensors and are protected by intellectual property laws.

You may not reproduce, distribute, modify, publicly display, create derivative works from, or otherwise exploit any portion of the Platform without prior written consent from TCC.

9. Third-Party Content and Links

The Platform may contain links to third-party websites, services, or resources. TCC does not control and is not responsible for the availability, content, policies, or practices of third-party websites. Accessing third-party services is done at your own risk.

10. Disclaimer of Warranties

The Platform and Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied. TCC disclaims all warranties, including but not limited to merchantability, fitness for a particular purpose, non-infringement, and uninterrupted service.

We do not warrant that the Platform will be error-free, secure, or continuously available.

11. Limitation of Liability

To the maximum extent permitted by law, TCC shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from or related to the use of the Platform, including loss of profits, data, goodwill, or business opportunities.

TCC’s total liability for any claim arising under these Terms shall not exceed the total amount paid by you to TCC in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless TCC and its officers, directors, employees, affiliates, and agents from any claims, damages, losses, liabilities, or expenses arising from your use of the Platform, your business conduct, your content submissions, or your violation of these Terms.

13. Termination

TCC may suspend, restrict, or terminate your access to the Platform at any time, with or without notice, for any reason, including suspected violation of these Terms.

Termination does not relieve you of any outstanding payment obligations.

14. Modifications to Terms

TCC reserves the right to modify these Terms at any time. Updated Terms will be posted on the Platform with a revised Effective Date. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from or relating to these Terms shall be resolved exclusively in the state or federal courts located within New York.

17. Acceptable Use Policy

In order to preserve the integrity, security, and reliability of the Platform, all users agree to comply with the following Acceptable Use standards.

You agree that you shall not, directly or indirectly:

Use the Platform for any unlawful, fraudulent, deceptive, or harmful purpose;
Submit false, misleading, defamatory, or inaccurate business information;
Misrepresent your identity, affiliation, or authority to act on behalf of any entity;
Attempt to manipulate ranking systems, algorithms, display order, reviews, or engagement metrics;
Use bots, scraping tools, automated scripts, or similar technologies to access, copy, extract, or index Platform data without prior written authorization;
Interfere with, disrupt, damage, or attempt to gain unauthorized access to any part of the Platform, its servers, or networks;
Upload or transmit viruses, malware, or malicious code;
Harass, threaten, intimidate, or defame any business, user, or third party;
Use the Platform to compete unfairly by harvesting contact information for solicitation outside the Platform without authorization.

TCC reserves the right, in its sole discretion, to investigate violations and take enforcement action, including suspension, termination, content removal, referral to law enforcement, and legal proceedings.

18. Binding Arbitration and Dispute Resolution

18.1 Agreement to Arbitrate

You agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Platform, or your use of the Services shall be resolved exclusively through binding individual arbitration, rather than in court, except as otherwise provided herein.

Arbitration shall be administered by a recognized arbitration organization in accordance with its applicable rules. Judgment on the arbitration award may be entered in any court having jurisdiction.

18.2 Waiver of Jury Trial

You expressly waive any right to a jury trial in any proceeding arising from or related to these Terms or the Platform.

18.3 Class Action Waiver

You agree that any arbitration or proceeding shall be conducted solely on an individual basis and not as a class, consolidated, representative, or collective action. You waive any right to participate in a class action lawsuit or class-wide arbitration against TCC.

18.4 Exceptions

TCC reserves the right to seek injunctive or equitable relief in court for matters relating to intellectual property rights, data misuse, fraud, or unauthorized access.

19. Business Member Addendum

This Addendum applies specifically to businesses and professionals that claim, verify, advertise, or otherwise participate as paid members on the Platform.

19.1 Accuracy of Information

Business Members represent and warrant that all information submitted to TCC is accurate, current, lawful, and not misleading. Business Members are solely responsible for updating their information as necessary.

19.2 Compliance with Laws

Business Members are responsible for ensuring compliance with all applicable laws, licensing requirements, advertising regulations, and industry standards applicable to their business operations.

TCC does not verify licenses, certifications, or regulatory compliance.

19.3 No Endorsement

Verification status or ranking position does not constitute endorsement, certification, or approval by TCC. Business Members may not imply that TCC guarantees or certifies their services.

19.4 Promotional Services and Advertising

If Business Members purchase promotional services, advertising placement, or integration with affiliated marketing services (including but not limited to Art Cup Ads or event promotions), such services are provided on a best-efforts basis. No specific performance metrics are guaranteed.

19.5 Category Cap and Activation Policies (If Implemented)

If TCC implements category limits or regional caps, Business Members acknowledge that delayed participation may result in higher activation or reinstatement fees. TCC reserves the right to structure, modify, or enforce such policies at its sole discretion.

19.6 Termination and Removal

TCC may remove or suspend any Business Member listing if it determines, in its sole discretion, that the listing:

Violates these Terms;
Harms the integrity of the Platform;
Creates legal or reputational risk;
Engages in fraudulent or deceptive conduct.

No refund shall be provided upon removal for cause.

20. Limitation of Platform Role

TCC functions solely as a digital listing and promotional platform. TCC does not employ, manage, supervise, or control listed businesses. Any contract, transaction, or engagement between users and businesses is strictly between those parties.

TCC shall not be liable for disputes, dissatisfaction, injury, damages, losses, or claims arising from interactions between users and listed businesses.

21. Data and Platform Security Disclaimer

While TCC implements commercially reasonable security measures, no digital platform is immune from security breaches. Users acknowledge that use of the Platform involves inherent risks of data transmission and online communication.

TCC disclaims liability for unauthorized access beyond its reasonable control.

22. Entire Agreement and Severability

These Terms constitute the entire agreement between you and TCC regarding the Platform and supersede all prior agreements or understandings.

If any provision is deemed unenforceable, the remaining provisions shall remain in full force and effect.

23. Event Participation; Assumption of Risk and Liability Waiver

TCC may from time to time organize, promote, sponsor, co-host, facilitate, or market live events, networking events, viewing parties, promotional gatherings, business meetups, or other in-person or virtual experiences (collectively, “Events”), either independently or in collaboration with third-party venues, sponsors, or partners.

By registering for, attending, participating in, or promoting any Event associated with TCC, you acknowledge and agree to the following:

You understand that participation in Events may involve inherent risks, including but not limited to personal injury, illness, property damage, theft, travel-related risks, venue-related hazards, interactions with third parties, and other unforeseeable circumstances. You voluntarily assume all risks associated with participation in any Event.

To the fullest extent permitted by law, you hereby release, waive, discharge, and hold harmless TCC, its officers, directors, employees, contractors, affiliates, sponsors, venue partners, advertisers, and agents from any and all claims, liabilities, damages, losses, costs, or expenses (including attorneys’ fees) arising out of or relating to your attendance at or participation in any Event, including but not limited to claims for personal injury, property damage, economic loss, emotional distress, or wrongful death.

You acknowledge that TCC does not control the conduct of attendees, venues, vendors, or third-party participants and is not responsible for their actions or omissions.

If alcohol is served at an Event, you acknowledge that you are solely responsible for your own conduct and compliance with applicable laws. TCC shall not be liable for any actions taken by attendees under the influence of alcohol or other substances.

You further grant TCC the right to capture, record, photograph, or film Event participation and to use such materials for promotional, marketing, advertising, or commercial purposes without compensation to you, unless otherwise agreed in writing.

If you are registering on behalf of additional attendees, you represent and warrant that you have authority to bind them to this waiver.

This Event liability waiver shall survive termination of these Terms.

24. Updates to These Terms

By accessing or using TheCoffeeClub.biz, you acknowledge that you have read these Terms of Service, understand them, and agree to be legally bound by them. These Terms may be updated, modified, or revised from time to time in accordance with their provisions. We encourage you to review these Terms periodically to remain informed of any changes. Material changes may be communicated through the Platform, by email, or through other reasonable means as determined by TCC. Your continued access to or use of the Platform following the posting of revised Terms constitutes your acknowledgment and acceptance of such changes.

If you do not agree to any modification of these Terms, you must discontinue use of the Platform.
